Terms of Service

1. Acceptance

By creating an account or using QBAI, you agree to these Terms of Service ("Terms"). If you are using QBAI on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.

2. The service

QBAI provides a platform to upload QuickBooks Desktop export data, generate financial reports, and interact with that data via AI chat. We reserve the right to modify, suspend, or discontinue features with reasonable notice.

3. Your account

  • You are responsible for maintaining the confidentiality of your credentials.
  • You must be at least 18 years old and legally capable of entering contracts.
  • One person or legal entity may not maintain more than one free account.
  • You must notify us immediately of any unauthorized account access at [email protected].

4. Acceptable use

You agree not to:

  • Upload data you do not own or have authorization to process
  • Attempt to reverse engineer, scrape, or extract the underlying models or data infrastructure
  • Use the service for any illegal purpose or in violation of any law
  • Resell or sublicense access to the service without written permission
  • Circumvent rate limits, authentication, or access controls
  • Upload malware, viruses, or any harmful code

5. Your data

You retain ownership of all data you upload. By uploading data you grant QBAI a limited license to process it solely to provide the service. We do not sell your data or use it for any purpose other than operating and improving QBAI. See our Privacy Policy for full details.

6. AI-generated content

Reports and chat responses are generated by AI and may contain errors. QBAI output does not constitute financial, tax, legal, or accounting advice. You are responsible for independently verifying any figures before making business decisions. Always consult a qualified professional for advice specific to your situation.

7. Payments and subscriptions

  • Paid plans are billed monthly or annually in advance.
  • All payments are processed by Stripe. By subscribing you authorize recurring charges.
  • You may cancel at any time via Settings. Cancellation takes effect at the end of the current billing period — no prorated refunds.
  • We reserve the right to change pricing with 30 days notice to existing subscribers.
  • Accounts more than 30 days past due may be suspended.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless QBAI and its officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the service, your data, or your violation of these Terms.

11. Termination

We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the service ceases immediately. Data deletion follows our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to these terms

We may update these Terms. Material changes will be communicated by email or prominent in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
